Air France-KLM and Lufthansa Fight Over TAP

Portugal has put its flag carrier back on the block, and on 29 July 2026 two of Europe's three airline mega-groups laid their cards on the table. Air France-KLM and Lufthansa Group both filed binding offers for a stake in TAP Air Portugal. The third giant, IAG — owner of British Airways and Iberia — quietly walked away.

What is actually for sale is a minority holding: up to 49.9 percent of TAP, with 44.9 percent going to a strategic partner and 5 percent reserved for employees. Lisbon keeps majority control. It is, in effect, the last big flag-carrier consolidation prize left in Western Europe — and two rivals want it badly.

Why TAP is worth fighting for

TAP is not a big airline by European standards, but it owns something the giants covet: the best network in Europe to Brazil, to Portuguese-speaking Africa, and a strong transatlantic reach to the Americas. For any of the big three groups, buying into TAP is buying a ready-made gateway to the South Atlantic — routes that would take years and fortunes to build from scratch.

That is why three of Europe's largest carriers circled Lisbon in the first place. Even with IAG's exit, the two remaining bidders are the continent's heavyweights.

Air France-KLM's pitch

Air France-KLM submitted a binding offer for up to 49.9 percent, covering every part of the business — passenger, cargo, loyalty and the maintenance, repair and overhaul (MRO) division. Its plan is to make Lisbon its sole hub for Southern Europe, while promising to keep TAP's brand, management, headquarters and Lisbon base, and to grow Porto as well.

Lufthansa's counter

Lufthansa Group is no stranger to swallowing flag carriers — it already runs Swiss, Austrian and Brussels Airlines, and recently took control of Italy's ITA Airways. Adding TAP would extend its reach across the South Atlantic and give it a southern European anchor to complement its Frankfurt, Munich, Zurich and Vienna hubs. For Lufthansa, TAP is less a rescue and more a strategic bolt-on.

What happens next

Parpública, the Portuguese state holding company running the sale, now has about 30 days to evaluate the two bids and report to the government, which is expected to pick a winner in the coming months. It is a politically sensitive decision: an earlier attempt to privatise TAP collapsed, and Lisbon is determined to keep control and protect Portuguese jobs this time.

Whichever group prevails, the real prize is the same — TAP's Atlantic network, and the keys to South America and Africa that come with it.
